These Terms and Conditions (“Agreement”) govern your use of ProDesk 247, a business management software solution developed and operated by Nunya Solutions (“Provider”). By using ProDesk 247 (“Software”), you agree to these Terms, which are designed to ensure a secure, transparent, and effective experience for all users. 1. Scope of Services

ProDesk 247 is a comprehensive software platform offering modules for finance, human resources, payroll, sales, inventory, customer relationship management, and other business operations. The Software is accessed on any internet-enabled device, including desktops, laptops, tablets, and mobile phones.

2. User Rights and Obligations

Users are granted a non-exclusive, non-transferable, limited license to use the Software for internal business operations, subject to compliance with this Agreement.

Users shall:

  • Provide accurate and current information during onboarding.

  • Maintain confidentiality of login credentials.

  • Use the Software only for lawful and authorized purposes.

3. Licensing Terms

The Software is licensed, not sold. Provider retains all rights, title, and interest in and to the Software, including all related intellectual property rights. Usage is governed by the license tier selected at the time of purchase or subscription.

4. Fees and Payment

Applicable fees for licensing, support, and services will be specified in the pricing schedule. Payments shall be made according to agreed-upon terms. Failure to pay may result in suspension or termination of access.

5. Confidentiality

Each party agrees to protect the other party’s confidential information and not to disclose or use such information except as necessary to perform under this Agreement.

6. Data Security and Privacy

7. Compliance with Laws

Users agree to use the Software in compliance with all applicable local, national, and international laws and regulations.

8. Termination

This Agreement remains in effect unless terminated. We reserve the right to suspend or revoke access if a User seriously breaches the Agreement. Should this happen, we’ll do our best to communicate clearly. If your access is terminated, your rights to use the Software will end, and we kindly ask that you stop using the service.

9. Limitation of Liability

To the maximum extent permitted by law, Provider shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to the use or inability to use the Software.

10. Modifications

Provider reserves the right to update or modify this Agreement at any time. Users will be notified of changes and continued use of the Software will constitute acceptance.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law principles.
